THESE API TERMS OF USE (“TERMS”) GOVERN YOUR ACCESS AND USE OF THE RUNSIGNUP API. BY CLICKING A BOX INDICATING ACCEPTANCE OR BY ACCESSING AND/OR USING RUNSIGNUP’S API IN ANY CAPACITY, YOU ACKNOWLEDGE THAT YOU HAVE CAREFULLY READ AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. THESE TERMS ARE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND RUNSIGNUP. IF YOU ARE AGREEING TO THESE TERMS ON BEHALF OF AN EVENT OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH LEGAL ENTITY TO THESE TERMS, IN WHICH CASE THE TERMS “YOU” AND “YOUR” SHALL REFER TO SUCH ENTITY. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU AND THE ORGANIZER MAY NOT USE THE API.

For purposes of these Terms, the following definitions apply:
"API" means the RunSignup application programming interface, including all associated endpoints, data formats, protocols, documentation, and software libraries made available to you by RunSignup in connection with enabling integration to the RunSignup Service through the API.
"Application" means any software application, website, service, or product developed by you that accesses or uses the API.
"API Credentials" means the api_key, api_secret, OAuth client credentials, access tokens, refresh tokens, and any other authentication credentials issued by RunSignup to you.
"Content" means any data, text, information, images, results, registrant data, event data, or other material accessed through or returned by the API.
"End Users" means the individuals who use your Application.
"Open Source Components" means the source code and client libraries made available by RunSignup through its public GitHub repositories under the Apache License, Version 2.0.
"RunSignup" means RunSignup, Inc., a Delaware corporation with its principal place of business at 300 Mill Street, Suite 200, Moorestown, NJ 08057, together with its affiliates, subsidiaries, and brands, including TicketSignup, GiveSignup, BikeSignup, TriSignup, SkiSignup, PaddleSignup, and AdventureSignup.
"RunSignup Marks" means RunSignup’s trademarks, service marks, trade names, logos, domain names, and other brand identifiers, including the names and marks of its affiliated brands.
“Service” means RunSignup’s software-as-a-service, or “SaaS”, solutions which enable the provision of technology-based services to help facilitate the administration and management of Events.
"Terms" means these API Terms of Use, together with any additional guidelines, policies, and documentation incorporated herein by reference.
"You" or "Registrant" means the individual or legal entity registering for and using the API, and, where applicable, the employees, agents, and contractors acting on such entity’s behalf.
By registering for, accessing, or using the RunSignup API, you agree to be bound by these Terms. If you do not agree to these Terms, you may not register for or use the API.
To register and use the API, you must:
RunSignup reserves the right to refuse registration or revoke access to any individual or entity for any reason and at any time, in its sole discretion.
RunSignup may update these Terms at any time by posting a revised version and updating the Effective Date above. RunSignup will endeavor to provide notice of material changes by sending an email to the address on file with your account or by posting a notice through the developer portal prior to the change taking effect. Your continued use of the API following the posting or notice of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the API and notify RunSignup to close your account.
Subject to your compliance with these Terms, RunSignup grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the API solely to:
Your use of the API is subject to, and you shall only use the API in a manner which is consistent with, the documentation, policies and instructions made available by RunSignup in connection with the API.
This license does not convey any right to distribute, sell, sublicense, or otherwise transfer the API or any rights therein to any third party. All rights not expressly granted herein are reserved by RunSignup.
Open Source Components available through RunSignup’s public GitHub repositories are governed by the Apache License, Version 2.0, rather than these Terms with respect to the open source code itself. These Terms govern your use of the API, including any proprietary RunSignup Service, platforms, data, and Content accessed through the API, regardless of whether Open Source Components are used in connection therewith. In the event of a conflict between the Apache License and these Terms with respect to any Open Source Component, the Apache License controls solely with respect to the open source code.
In connection with your use of, or access to, the API or any conduct related to this Agreement, you may not:
Your use of the API is subject to the following limits:
RunSignup may also, in its sole discretion and at any time, impose limits on the total volume of data or number of records that may be retrieved through the API within any given period, whether measured by request count, response size, record count, or any other metric RunSignup deems appropriate. Such limits may vary by access tier, API method, or account, and may be adjusted at any time with or without prior notice. You are responsible for designing your Application to operate within any limits that RunSignup establishes or communicates.
Exceeding rate limits or data volume limits may result in throttling, temporary suspension of API access, or termination of your account. RunSignup will not be liable for any damages arising from rate limit or data volume limit enforcement.
All API calls must be made over HTTPS. RunSignup does not support unencrypted HTTP connections.
The API is currently made available at no charge. RunSignup reserves the right to introduce fees for API access or for specific features, tiers, or usage levels at any time upon notice to you. Any such fees will be disclosed in advance through the developer portal or by email to your account address. Your continued use of the API after the effective date of any fee schedule constitutes your agreement to pay the applicable fees. If you do not agree to pay any fees introduced, you must cease using the API before the effective date of the fee schedule.
RunSignup will issue API Credentials to you upon approval of your registration. You are solely responsible for:
Upon receiving notice of a compromise, or upon RunSignup’s determination that credentials have been compromised, RunSignup may immediately revoke the affected credentials and issue replacement credentials, at its sole discretion.
Any data, including registrant personal information, accessed through the API is governed by RunSignup’s Privacy Policy, available at https://runsignup.com/About-Us/Privacy-Policy (the "Privacy Policy"), as well as all applicable privacy and data protection laws. By accessing the API, you confirm that you have reviewed the Privacy Policy and agree to be bound by its terms, as they may be updated from time to time.
You may use Content accessed through the API only for the purpose of operating your Application as permitted by these Terms. You may not:
You shall protect the privacy and security of personal information and any other regulated information regarding registrants, Participants, members, and others (including such information that is part of Content) in accordance with all applicable laws, regulations, prevailing industry standards, and other applicable data security guidelines (collectively, "Data Security Laws"). In addition, you shall ensure that: (i) you, and any third party which accesses such information through your Application, has posted and complies with a privacy policy addressing applicable collection, use, and storage practices; and (ii) such privacy policies comply with all applicable Data Security Laws.
You must flow down to your End Users any obligations necessary to ensure that your use of the API and the Content complies with applicable law and these Terms. You are solely responsible for your Application’s compliance with applicable law and for any claims arising out of your End Users’ use of your Application.
You must implement and maintain reasonable administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of the API and the Content accessed through the API, including registrant and user data. These safeguards must be no less rigorous than those you use to protect your own sensitive information, and must comply with applicable law and industry-standard security practices.
You must obtain all necessary consents for the use, processing and storage of the Content.
In the event of any actual or suspected security breach involving Content or registrant data obtained through the API—including unauthorized access, acquisition, disclosure, or use of such data—you must notify RunSignup in writing at legal@runsignup.com as soon as practicable and in no event later than forty-eight (48) hours after discovery. Such notice must include a description of the nature of the breach, the data affected, the likely cause, and the remediation steps you are taking or plan to take. You must cooperate fully with RunSignup in any investigation of the breach and take all reasonable steps to mitigate harm.
You shall be wholly responsible and liable for any and all costs, expenses, liabilities and damages which result from a security breach related to your Application, the integration you develop, and/or your use of the API hereunder.
RunSignup may de-personalize (remove any personally identifying information protected under applicable law) and aggregate any data or information generated in connection with your use of the API, including API call logs and usage statistics, to perform analytics, improve and market the API and its services, or for any other business or commercial purpose. RunSignup shall have no obligation or liability in connection with its use of any such de-personalized or aggregated data, unless and to the extent required by applicable law.
RunSignup reserves the right to monitor your use of the API for compliance with these Terms, to protect the security and integrity of the API, and to improve its services. By using the API, you consent to this monitoring.
RunSignup may log API calls, including the nature and volume of requests, endpoints accessed, and response data, and may retain these logs for reasonable periods. RunSignup will handle any personal data contained in such logs in accordance with its Privacy Policy.
Upon reasonable notice (except in cases of suspected fraud, security breach, or material violation of these Terms, in which case no prior notice is required), RunSignup may audit your use of the API to verify compliance with these Terms. You agree to cooperate with any such audit and to provide RunSignup with reasonable access to relevant records and information.
As between you and RunSignup, RunSignup owns all right, title, and interest in and to the API, all RunSignup Marks, all Content, and all RunSignup proprietary software, including all intellectual property rights therein. No rights in the API, RunSignup Marks, or Content are transferred to you by these Terms except the limited license expressly set forth in Section 3.
You retain ownership of your Application and any content you independently develop (“Custom Content”), provided that no element of the foregoing incorporates or is derived from any RunSignup proprietary materials. You are wholly responsible and liable for your Custom Content and for ensuring that such Custom Content does not infringe any third party’s intellectual property or privacy rights or violate applicable law or regulation.
You may not use RunSignup Marks, including the names "RunSignup," "TicketSignup," "GiveSignup," or any other RunSignup brand names or logos, in any manner that:
You may accurately state in your Application and marketing materials that your Application "works with RunSignup" or "integrates with the RunSignup API," provided that such statement is truthful and does not violate the restrictions above.
Notwithstanding the above, you shall make no representation or statement of any kind which indicates that RunSignUp endorses, supports, certifies or makes any commitment regarding the interoperability of your Application with the RunSignup Service. You may not use the name “RunSignup” or any other trademark of RunSignup in the name of your Application. RunSignup may require you to discontinue use of the API upon written notice. You understand and agree that you are solely responsible and liable for: (i) your operation of your Application and integrations; and (ii) problems, defects and all other matters relating to or arising from the integration of your Application with the RunSignup Service
If you submit, transmit, or otherwise provide to RunSignup any ideas, suggestions, feedback, or recommendations regarding the API or RunSignup’s services ("Feedback"), you hereby grant RunSignup a perpetual, irrevocable, royalty-free, worldwide, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and incorporate such Feedback into RunSignup’s products and services without restriction, compensation, or attribution to you. You represent that you have the right to grant this license and that the Feedback does not infringe any third-party intellectual property rights.
Nothing in these Terms grants you any exclusive rights with respect to the API. RunSignup retains the right, in its sole discretion and without limitation, to:
RunSignup is not obligated to make the API available to you or to continue providing access to any particular feature, method, or version of the API.
THE API, ALL CONTENT, AND ALL RUNSIGNUP SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RUNSIGNUP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
RUNSIGNUP DOES NOT WARRANT THAT: (A) THE API WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS; (B) THE CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR FREE OF ERRORS; OR (C) ANY DEFECTS IN THE API WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU IN FULL.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RUNSIGNUP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE API, EVEN IF RUNSIGNUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RUNSIGNUP’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) IN THE AGGREGATE.
THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
You agree to defend, indemnify, and hold harmless RunSignup, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:
RunSignup reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with RunSignup in asserting any available defenses. You may not settle any claim covered by this Section without RunSignup’s prior written consent.
RunSignup may suspend or terminate your access to the API, with or without prior notice, if RunSignup determines in its sole discretion that:
In addition to the foregoing, RunSignup may suspend or terminate your access to the API at any time, for any reason or no reason, in its sole discretion, with or without prior notice.
Termination of your access to the API shall automatically terminate these Terms.
RunSignup’s suspension or termination of your access to the API shall be without liability of any kind to you.
You may terminate your use of the API at any time by ceasing all API calls and notifying RunSignup to close your account at api@runsignup.com.
Upon termination of these Terms for any reason:
Termination does not relieve you of any obligations or liabilities that accrued prior to termination.
The provisions of these Terms which relate to confidentiality, intellectual property ownership, license to feedback, indemnity, limitations of liability, data security, data privacy, prohibitions and restrictions, post-termination obligations, governing law and “General Provisions” shall survive expiration or termination of these Terms.
RunSignup does not guarantee any particular level of API availability, uptime, or response time. RunSignup may, in its sole discretion and at any time, with or without notice:
RunSignup will endeavor to provide advance notice of changes that are material or likely to require updates to your Application, but is not obligated to do so. You are responsible for monitoring RunSignup’s developer documentation and communications for updates to the API.
These Terms will be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or your use of the API that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you hereby irrevocably consent to the personal jurisdiction of such courts.
Notwithstanding the foregoing, RunSignup may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened misuse of the API, infringement of its intellectual property rights, or breach of confidentiality obligations.
Entire Agreement. These Terms, together with RunSignup’s Privacy Policy and any additional guidelines or policies incorporated herein, constitute the entire agreement between you and RunSignup with respect to the API and supersede all prior or contemporaneous agreements, representations, and understandings relating to the subject matter hereof.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be so modified, and the remaining provisions will continue in full force and effect.
Waiver. RunSignup’s failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of a breach of these Terms must be in writing and signed by an authorized representative of RunSignup to be effective.
No Third-Party Beneficiaries. These Terms are for the sole benefit of RunSignup and you, and do not create any rights in any third party.
Relationship of Parties. The parties are independent contractors. Nothing in these Terms creates or implies a partnership, joint venture, employment, franchise, or agency relationship between RunSignup and you. You have no authority to bind RunSignup or incur obligations on its behalf.
Assignment. You may not assign or transfer your rights or obligations under these Terms, by operation of law or otherwise, without RunSignup’s prior written consent. Any purported assignment without such consent is void. RunSignup may assign these Terms freely, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Confidentiality. You agree to treat RunSignup’s proprietary API technology, non-public documentation, technical specifications, and related materials (“API Materials”) as confidential information and shall not disclose or distribute any such information, in whole or in part, to any third party without RunSignup’s prior written consent and you shall not use such API Materials except as expressly permitted hereunder. This obligation does not apply to information that (i) is or becomes publicly available through no act or omission of yours, (ii) was rightfully in your possession prior to your receipt from RunSignup, or (iii) is independently developed by you without reference to RunSignup’s confidential information.
Force Majeure. Neither party will be liable to the other for any failure or delay in performance of its obligations under these Terms during any period in which such performance is prevented or delayed by circumstances beyond that party’s reasonable control, including natural disasters, acts of war or terrorism, government actions or orders, labor disruptions, internet outages, power outages, or similar events ("Force Majeure Event"). The affected party must notify the other promptly upon the occurrence of a Force Majeure Event and use commercially reasonable efforts to resume performance as soon as practicable.
Injunctive Relief. You acknowledge that a breach of your obligations regarding API Credentials, intellectual property, data security/privacy, or confidentiality may cause irreparable harm to RunSignup for which monetary damages would be an inadequate remedy, and that RunSignup is entitled to seek injunctive or other equitable relief without the requirement to post a bond or other security.
Notices. All notices to RunSignup required or permitted under these Terms must be in writing and sent to: RunSignup, Inc., Attn: Legal Department, 300 Mill Street, Suite 200, Moorestown, NJ 08057, or by email to legal@runsignup.com. RunSignup may send notices to you at the email address associated with your API account.
